SynoraDrive Disclaimer

This Disclaimer applies to the SynoraDrive platform (the Service) and the SynoraDrive website. It is provided by Andrew Phan trading as SYNORA TECH (ABN 42 234 662 138) (we, us). For any customer who signs an agreement with us, it forms part of that agreement (Terms). If this Disclaimer and the Terms conflict, the Terms prevail.

1. Your rights under the Australian Consumer Law

Nothing in this Disclaimer excludes, restricts or modifies any right or remedy, or any guarantee, that you have under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified. Everything below applies only to the extent the law allows.

1A. Prototype status

SynoraDrive is a working prototype and is not yet in production use with any dealership. Features described as "planned" or "on our roadmap" are not available and may change or not be released. Pilots are subject to contract.

2. SynoraDrive is a tool, not an adviser

SynoraDrive automates paperwork, workflow and reporting for dealerships. We do not give legal, compliance, tax, accounting, financial, credit, insurance or audit advice. Nothing in the Service, our onboarding or support, or our website is that advice, and it should not be treated as a substitute for advice from a qualified professional. Your dealership remains responsible for its own compliance and its own decisions.

3. OEM rebates, bonuses and incentives

SynoraDrive is designed to help you keep deal files complete. It does not and cannot guarantee any OEM outcome.

• We are not a party to your dealer, franchise or incentive agreements, and have no control over how a manufacturer, distributor or importer sets, interprets, audits, pays, withholds, rejects or claws back any rebate, bonus, holdback, target payment or other incentive.
• Using SynoraDrive, including its checklists, stage gates, watchlists and activity log, does not guarantee that any incentive will be paid or kept, or that any deal file will pass an OEM audit or review.
• OEM programme rules change. Checklists only reflect the rules once your configuration is updated, and it is your responsibility to tell us when your OEM's requirements change.
• To the extent permitted by law, we are not liable for any rebate, bonus or incentive that is not paid, is reduced, rejected, withheld, delayed or clawed back, or for any loss of eligibility for one, however caused. See the Terms.

4. Compliance features

Deal-type checklists, stage gates, ASIC deferred sales model tracking, Pre-Reported (RDA) watchlists and PPSR certificate reading (all planned), and similar features, are aids. They work from the configuration and data you provide, and they do not guarantee compliance with any law, regulator requirement, licence condition, OEM requirement or audit standard. A stage gate being passed or a checklist being complete in SynoraDrive does not mean a deal is compliant. You remain responsible for confirming compliance before a vehicle is delivered.

5. Reports, forecasts and the month book

Dashboards, the live month book, weighted pipeline values, KPIs, target tracking, forecasts and any other reports are generated from the data in your account and from assumptions. They are estimates, not guarantees. Forecasts are inherently uncertain and actual results may differ materially. Figures are only as accurate and current as the data entered. Do not rely on them as the only basis for financial, stock, staffing, target or other business decisions.

6. Automated reading, pre-filled forms and data entry

SynoraDrive reads contracts of sale using rule-based field mapping and pattern matching, with optical character recognition for scanned pages. It does not use artificial intelligence or machine learning. It uses that data to fill forms and build deal packs. Automated reading can make mistakes, particularly with poor scans, handwriting, unusual layouts or changes to source documents or forms.

• Every pre-filled form, deal pack, registration document and other output must be checked by a competent person in your dealership against the source documents before it is issued, signed, lodged or relied on.
• Highlighted fields and guided verification help with that check but do not replace it.
• To the extent permitted by law, we are not liable for any loss caused by inaccurate or incomplete data, including data entered by your staff or customers, data imported from your dealer management system, or extraction errors not corrected during your review.

7. Third-party data and services

SynoraDrive works with documents and information that come from services we do not control, such as your dealer management system, PPSR certificates, company registers and registration authorities. Integrations with third-party systems, including e-signature and dealer management systems, are planned and subject to partner agreements. Information from third-party sources is used as received, and we do not verify it. We are not responsible for their accuracy, availability, changes, fees or security.

8. Document retention

To reduce privacy risk, SynoraDrive is designed to delete documents automatically after a retention period of generally 30 days (planned; see our Privacy Policy). Once DocuSign e-signature is released, signed documents will sit in your own DocuSign account under your agreement with DocuSign. SynoraDrive is not an archive. You must download and keep your own copies of anything you need for OEM audits, tax, ASIC, registration or other record-keeping obligations. Deleted documents cannot be recovered.

9. Website content and ROI estimates

Information on our website is general information only and may change without notice. Do not rely on our website as a complete or current description of the Service. Your rights are set out only in a signed agreement with us. Pricing shown on our website is indicative only, is not an offer, and is subject to contract. Time-saving, return-on-investment and other estimates, including the results of our estimator, are illustrative only. They are based on the inputs and assumptions shown, not on your dealership's actual results, and are not a promise of any saving or outcome. Product features described as on our roadmap are not yet available and may change or not be released.

10. Limitation of liability

To the extent permitted by law, and subject to section 1 of this Disclaimer, our liability in connection with the Service and our website is limited and excluded as set out in the Terms. Where you have not entered into the Terms (for example, as a website visitor), we are not liable for any loss arising from your use of or reliance on our website, to the extent permitted by law.
